These Terms of Service (“Terms”) are a binding agreement between you and Conyr, Inc., a Delaware corporation doing business as Conyr (“Conyr,” “we,” “us,” or “our”). They govern access to conyr.ai, the Conyr application, API, MCP server, WebSocket services, browser extension, bots, software, data, documentation, and related services (collectively, the “Services”). By accessing or using the Services, creating an account, or purchasing a plan, you agree to these Terms. If you act for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Services.
You must be at least 18 and legally capable of entering a binding agreement. You may not use the Services if doing so would violate applicable law, sanctions, export controls, or an agreement binding you. If you use the Services for a business, agent, fund, trading operation, or other organization, “you” includes that organization and you are responsible for its users and systems.
Provide accurate account information and keep it current.
Protect passwords, sessions, API keys, connected devices, wallet-signing access, and notification channels.
Do not share account or API credentials outside your organization or plan permissions.
Notify Conyr promptly at hello@conyr.ai if you suspect unauthorized access.
You are responsible for activity performed through your account and credentials to the extent permitted by law.
A wallet signature authenticates control of a public address at a point in time; it does not prove legal identity or ownership. Conyr will never ask you to disclose a seed phrase or private key.
Subject to these Terms and your plan, Conyr grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal personal or business purposes. API, MCP, WebSocket, feed, resale, white-label, publication, and redistribution rights are limited to the scope expressly included in your plan or a written agreement with Conyr.
No rights are granted by implication. Conyr and its licensors retain all rights in the Services, including software, interfaces, documentation, designs, models, methods, taxonomies, derived datasets, trademarks, and content, excluding public blockchain facts and material owned by others.
You must not, and must not help another person to:
Use the Services unlawfully, fraudulently, deceptively, or to violate another person's rights.
Probe, attack, disrupt, overload, bypass, or interfere with the Services, security controls, quotas, tier gates, or rate limits.
Use stolen credentials, conceal abusive traffic, evade suspensions, or create accounts or keys to circumvent plan restrictions.
Reverse engineer, decompile, extract source code, model parameters, protected methods, or non-public datasets except where applicable law cannot prohibit it.
Scrape or bulk-copy the Services outside documented interfaces, or resell, sublicense, mirror, republish, or build a substitute dataset or competing service from Conyr output without written permission.
Remove notices, misrepresent Conyr output as independently verified fact, or imply endorsement, certification, or partnership without authorization.
Upload malware, unlawful content, sensitive credentials, seed phrases, private keys, or information you lack authority to process.
Use wallet labels or inferences to harass, dox, threaten, discriminate unlawfully, or make employment, housing, credit, insurance, or other legally significant decisions about a person without an independent lawful basis and appropriate human review.
Reasonable security research requires prior written authorization. Contact Conyr before testing production systems.
The Services are designed for software agents and automated systems, but Conyr does not control their prompts, policies, permissions, tools, or actions. You are solely responsible for configuring safeguards, spending and transaction limits, human review, evidence thresholds, retries, error handling, and legal compliance for every agent or integration you operate.
Do not treat `null`, empty, partial, stale, degraded, unknown, or unsupported states as affirmative facts.
Do not allow a model to invent missing fields, intent, identity, ownership, or certainty.
Verify material decisions against current responses and available chain evidence.
Use independent controls before an agent sends a transaction, moves assets, publishes an allegation, or takes another irreversible or high-impact action.
You assume responsibility for actions taken or omitted by an agent using your credentials, even when the agent relied on Conyr output.
6.1 Not financial or professional advice
The Services provide informational analytics and software tools. Nothing is investment, financial, trading, legal, tax, accounting, compliance, or other professional advice; a recommendation or solicitation; or a guarantee of outcome. Conyr is not your broker, exchange, dealer, investment adviser, fiduciary, custodian, or agent. You are solely responsible for research, decisions, taxes, compliance, and losses.
6.2 Outputs are evidence-bounded and may be wrong
Blockchain data, market data, prices, balances, PnL, provenance, wallet labels, similarity, bundles, sybil or wash-trade detections, coordination, security scores, AI responses, and alerts may be delayed, incomplete, unavailable, stale, misclassified, or incorrect. Models and heuristics can produce false positives and false negatives. Protocol upgrades, chain forks, reorganizations, parser changes, missing history, transfers, decimals, spam, adversarial behavior, third-party failures, and network conditions can affect results. Historical performance does not predict future results.
6.3 Address-level inferences are not allegations about people
Wallets are addresses, not verified natural persons. Labels and relationship detections describe observable or inferred on-chain patterns and do not prove identity, beneficial ownership, intent, illegality, fraud, manipulation, or malicious conduct. You must not present them otherwise without independent evidence and an appropriate lawful process.
6.4 Digital assets are high risk
Digital assets can lose all value and transactions may be irreversible. Smart contracts, tokens, liquidity pools, bridges, wallets, validators, RPC providers, bots, and protocols may fail or be exploited. Conyr does not promise to identify or prevent every rug pull, exploit, coordinated sale, or loss.
Except where expressly stated, Conyr does not custody digital assets or execute transactions on your behalf. A wallet or third-party interface may ask you to sign messages or transactions. You must inspect and approve them using your own wallet controls. Any transaction you authorize is your decision and may be irreversible. Conyr is not responsible for wallet software, protocols, tokens, third-party routing, slippage, fees, failed transactions, or malicious contracts.
Prices are stated in U.S. dollars unless shown otherwise and exclude applicable taxes.
Paid plans are billed in advance through Stripe on the monthly or annual cadence selected at checkout.
Subscriptions renew automatically for successive periods until cancelled through the billing portal or another method Conyr makes available.
Cancellation stops future renewal and normally takes effect at the end of the current paid period. Except where law or a written offer requires otherwise, fees are non-refundable and Conyr does not provide prorated refunds or credits for unused time, downgraded access, or unused quotas.
You authorize Conyr and Stripe to charge the payment method for recurring fees, taxes, and approved plan changes.
We may change plan features, quotas, or future prices. Price changes apply no earlier than the next renewal after reasonable notice, unless you affirmatively select an immediate change. Enterprise orders, credits, trials, promotions, and service levels may have additional written terms.
The Services may be changed, suspended, rate-limited, or discontinued. Quotas and feature access are measured under the applicable plan and may be enforced independently across interfaces. Unless a signed enterprise agreement states otherwise, there is no service-level agreement, guaranteed uptime, support response time, data-retention period, replay right, or compatibility commitment. Maintenance, abuse prevention, chain conditions, or provider failure may interrupt access.
You retain rights in information you lawfully submit. You grant Conyr a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, and display that information only as needed to provide, secure, support, and improve the Services and comply with law. You represent that you have the rights and authority needed for anything you submit.
If you provide suggestions or feedback, you grant Conyr a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation. Do not provide feedback subject to obligations inconsistent with this licence.
The Privacy Policy explains how Conyr handles personal information. You are independently responsible for privacy notices, consent, lawful basis, security, retention, and rights handling for personal information you send to Conyr or derive from the Services, especially when using Conyr in your own application or agent.
The Services may interoperate with or link to third parties, including Solana, wallets, protocols, exchanges, bots, block explorers, authentication services, Stripe, and external content. Conyr does not control or endorse them and is not responsible for their availability, security, terms, accuracy, conduct, or losses. Your use of a third party is governed by its terms.
Non-public previews, credentials, documentation, pricing, methods, or technical information marked or reasonably understood as confidential must be protected and used only for authorized evaluation. Beta, preview, experimental, and free features may be incomplete, changed without notice, and withdrawn at any time. They are provided without production commitments.
You may stop using the Services at any time and may manage paid subscriptions through the billing portal. Conyr may suspend or terminate access immediately when reasonably necessary to address a security risk, legal requirement, payment failure, abuse, material breach, harm to the Services or others, or repeated conduct inconsistent with these Terms. Where practical, we may provide notice and an opportunity to cure.
On termination, your licence ends and you must stop using credentials and protected materials. Accrued payment obligations and provisions that by nature should survive—including intellectual property, disclaimers, liability limits, indemnity, disputes, and general terms—will survive.
To the maximum extent permitted by law, the Services and all outputs are provided “as is” and “as available.” Conyr disclaims all express, implied, statutory, and collateral warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, availability, security, profitability, and results. Conyr does not warrant that the Services will be uninterrupted, error-free, free of harmful components, or suitable for any trade, compliance decision, autonomous action, or purpose.
Some jurisdictions do not allow certain exclusions. In that case, exclusions apply only to the maximum extent permitted, and mandatory rights remain unaffected.
To the maximum extent permitted by law, Conyr and its founders, personnel, affiliates, licensors, and providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, opportunities, data, goodwill, or digital assets; trading losses; transaction fees; smart-contract or protocol losses; security incidents; or the cost of substitute services, arising from or related to the Services, even if advised of the possibility.
To the maximum extent permitted by law, Conyr's aggregate liability for all claims arising from or related to the Services will not exceed the greater of (a) the fees you paid Conyr for the affected Services during the 12 months before the event giving rise to liability or (b) USD $100.
These limits apply regardless of the theory of liability and allocation of remedies. They do not limit liability that cannot lawfully be limited, including liability for fraud or wilful misconduct where applicable law so requires.
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Conyr and its founders, personnel, affiliates, licensors, and providers from third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising from your content, agents, integrations, transactions, violation of these Terms or law, infringement of another person's rights, or misuse of the Services. Conyr may control the defence and settlement of a covered claim; you will reasonably cooperate and may not settle in a way that admits liability for Conyr without consent.
These Terms are governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law rules. Before filing a claim, each party will give written notice and try in good faith for 30 days to resolve the dispute informally. Subject to any mandatory consumer law, each party consents to the exclusive jurisdiction and venue of the state and federal courts located in Delaware and waives objections based on inconvenient forum. Nothing prevents either party from seeking urgent injunctive relief or using a competent small-claims process.
We may update these Terms to reflect changes to the Services, risk, business, or law. We will post the revised Terms and update the date. Material changes will apply prospectively after reasonable notice where required. Continuing to use the Services after the effective date constitutes acceptance, except where law requires a different form of consent. If you do not agree, stop using the Services and cancel any renewal.
These Terms, the Privacy Policy, plan terms, and any signed order form are the entire agreement about the Services. A signed enterprise agreement controls to the extent of a conflict. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder continues. Failure to enforce is not a waiver. You may not assign these Terms without Conyr's consent; Conyr may assign them in connection with a reorganization, financing, sale, or transfer of the Services. Headings are for convenience. “Including” means “including without limitation.” Electronic communications and signatures satisfy writing requirements to the extent permitted by law.
